End User License Agreement (EULA)

1. Agreement
This End User License Agreement ("EULA") is a legal agreement between you ("User") and VeriJob ("Licensor") governing your use of the VeriJob web application and any related software, tooling, or analysis output (collectively, the "Software"). By accessing or using the Software you agree to be bound by this EULA. If you do not agree, do not use the Software.
This EULA supplements and incorporates by reference the VeriJob Terms of Service. In the event of conflict, these EULA terms govern with respect to the Software license specifically.
2. Grant of License
Subject to the terms of this EULA, VeriJob grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software via a supported web browser solely for your personal, non-commercial informational purposes — specifically, to evaluate the apparent authenticity of job postings that you have encountered in your own job search or hiring activities.
3. License Restrictions
You may not:
- Sub-license, sell, rent, lease, transfer, assign, or otherwise commercially exploit the Software or access to it.
- Use the Software to build a competing or substantially similar product or service.
- Reverse engineer, decompile, disassemble, or attempt to derive source code, algorithms, or models from the Software.
- Scrape, data-mine, or systematically extract scores, reasoning text, recruiter data, or any other output from the Software through automated means.
- Use the Software to generate reports on individuals without their knowledge for purposes of surveillance, discrimination, hiring exclusion, or any other purpose that violates applicable law (including the FCRA, EEOC guidelines, or equivalent statutes).
- Remove, obscure, or alter any proprietary notices, labels, or branding within the Software.
- Use the Software in any manner that violates the VeriJob Terms of Service.
4. AI & Automated Analysis — Important Limitations
The Software relies on artificial intelligence (including third-party large language models) and automated heuristics to produce scores. You expressly acknowledge and agree that:
- AI-generated outputs are probabilistic and inherently imperfect. A high score does not certify a job as legitimate; a low score does not certify it as fraudulent.
- You will exercise independent judgment and perform your own due diligence before acting on any score or analysis.
- You will not use Software output as the sole or primary factor in any employment, legal, financial, compliance, or business decision.
- The Licensor is not responsible for errors, omissions, or outdated information surfaced by the Software's automated web searches or DNS checks.
5. Ownership & Intellectual Property
The Software, including all code, design, trademarks, the VeriShield logo, scoring methodology, and documentation, is and remains the exclusive property of VeriJob and its owner. This EULA does not convey to you any interest in or title to the Software — only the limited license set forth in Section 2. All rights not expressly granted are reserved.
6. Third-Party Components
The Software integrates with or relies upon third-party services and open-source libraries (including but not limited to Groq, Serper, Stripe, Rails, and Sidekiq). Your use of those components is subject to their respective license terms and terms of service. VeriJob is not responsible for the availability, accuracy, or conduct of any third-party service.
7. Updates & Modifications
VeriJob may update, modify, suspend, or discontinue the Software (or any part of it) at any time without liability. Updates may change scoring weights, methodology, or available features. Continued use after an update constitutes acceptance of the updated Software.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERIJOB EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT.
9. Limitation of Liability
IN NO EVENT SHALL VERIJOB OR ITS OWNER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR RELIANCE ON THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. VERIJOB'S TOTAL CUMULATIVE LIABILITY UNDER THIS EULA SHALL NOT EXCEED USD $10.00.
10. Termination
This EULA is effective until terminated. Your rights under this EULA terminate automatically, without notice, if you breach any provision. Upon termination you must cease all use of the Software. Sections 4, 5, 8, 9, and 11 survive termination.
11. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-law principles. Any dispute shall be resolved as set out in Section 16 of the VeriJob Terms of Service.
12. Entire Agreement
This EULA, together with the VeriJob Terms of Service, constitutes the entire agreement between you and VeriJob with respect to the Software and supersedes all prior agreements, representations, or understandings relating to the same subject matter.
